Partners of AGA Partners Ivan Kasyunyuk and Irina Moroz shared with the students of the Legal High School the secrets of successful conclusion of trade contracts and revealed the essence of using GAFTA and FOSFA standards in international trade.

Educational platform for lawyers Legal High School invited partners of AGA Partners Ivan Kasynyuk and Irina Moroz to deliver speeches in the module "Raw Arbitration" in the School of Judicial Practice.

Ivan Kasynyuk presented the audience a practical look at English law through the commercial arbitration of GAFTA and FOSFA.

Ivan talked about the principles of international trade in agricultural products, he also focused on the role of GAFTA and FOSFA associations, their typical contracts and the reasons why such contracts are more often subject to English law. 

Irina Moroz presented the relevant legal positions of GAFTA and FOSFA to the students of the Legal High School.

Irina noted that, as a rule, trade in commodities is carried out within the associations of GAFTA and FOSFA, which work according to English law. The lecturer stopped on the terms of  GAFTA and FOSFA contracts, explained the scheme of disputes resolution, and also uncovered such phenomenon as an appropriation, which is a formal requirement of all contracts.

In support of the foregoing, Ivan Kasynyuk and Irina Moroz brought real cases to illustrate  the procedure for concluding a trade agreement and further arbitration proceedings.

AGA Partners’ team successfully defends client’s interests in FOSFA arbitration.

$8.5 million - this was the amount of the Dutch company’s claim to our client. The subject matter of the dispute was the allegedly improper quality of the delivered agricultural products.

To the joy of our clients, a large Ukrainian agricultural holding, the arbitrators refused the claim in full. The last nail was the recognition of all counter claims of our client and compensation for legal and expert expenses.

Irina Moroz, Partner at AGA Partners, reveals the main ingredients of the victory:

“Everything is quite simple. Study 7 volumes of the complainant’s claims. Pore over the EU directives for a long time. Look for gaps and weaknesses in claims.

Apply the English law doctrines of satisfactory quality, fitness for purposes, quality final, etc. Add a dozen of expert opinions.

Cook it for 3 years, let it brew, add arguments to taste.

And, voilà, the FOSFA tribunal meets our claim in the first instance.

Irina Moroz, Partner, and Dmitry Koval, Associate at AGA Partners, have successfully represented client’s interests in GAFTA Appeal.

The case concerned a dispute as to whether there was a contract. The main goal was to prove the existence of a contract, as during a long negotiation and discussion, the market price for goods fell, and the defendant refused to sign the contract. Under the framework of English law, a contract can be regarded as concluded without the signatures of the parties, if they have formally agreed on the main provisions.

The Tribunal confirmed the conclusion of the contract, despite the absence of the parties’ signatures, and fully satisfied our client's claim for $1 million of default losses. The award was executed by the defendant by signing a settlement agreement.
